1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Anywhere Group Pty Ltd (ABN XX XXX XXX XXX), trading as AnywherePT ("Company", "we", "us", or "our"), governing your access to and use of the AnywherePT platform, including the website at anywherept.com.au, mobile applications, and all related services (collectively, the "Platform").
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.
2. Definitions
- "Client" means a User who books or receives personal training services through the Platform.
- "Provider" or "Trainer" means a qualified personal trainer who offers services through the Platform.
- "Session" means a personal training session booked through the Platform.
- "Platform Fee" means the commission charged by AnywherePT for facilitating a Session.
- "Content" means all text, images, reviews, and other materials submitted to the Platform.
3. Eligibility
To use the Platform, you must be at least 18 years of age, or 16 years of age with parental or guardian consent. By using the Platform, you represent and warrant that you meet these eligibility requirements.
Providers must hold a valid Australian fitness qualification (minimum Certificate III in Fitness, SIS30321 or equivalent), maintain current public liability insurance, and hold a valid Working With Children Check where required by applicable state or territory law.
4. Account Registration
You must create an account to book Sessions or offer services on the Platform. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
We reserve the right to suspend or terminate your account if any information provided is inaccurate, incomplete, or breaches these Terms.
5. Platform Services
5.1 Nature of the Platform
AnywherePT is a marketplace that connects Clients with Providers. We do not employ Providers, and Providers are independent contractors. We do not provide personal training services directly. The contract for a Session is between the Client and the Provider.
5.2 Verification
We undertake reasonable efforts to verify Provider qualifications, insurance, and Working With Children Checks. However, verification does not constitute a guarantee of competence, safety, or fitness for any purpose. Users are responsible for their own due diligence.
5.3 No Guarantee of Availability
We do not guarantee the availability of any Provider or the suitability of any Provider for a particular Client's needs.
6. Bookings and Payments
6.1 Booking a Session
When a Client books a Session, they agree to pay the listed price for that Session. Payment is processed at the time of booking through our payment processor, Stripe. The Client's payment is held until the Session is completed.
6.2 Platform Fee
AnywherePT charges a Platform Fee of 15% on each completed Session. This fee is deducted from the total Session price before payout to the Provider. The Client pays no additional fees beyond the listed Session price.
6.3 Payouts to Providers
Providers receive payment within 48 hours of Session completion via their connected Stripe Express account. Providers are responsible for their own tax obligations, including GST registration and reporting where applicable.
6.4 Cancellation Policy
Clients may cancel a Session up to 24 hours before the scheduled time for a full refund. Cancellations within 24 hours of the Session incur a 50% cancellation fee, which is paid to the Provider to compensate for the reserved time. No-shows are charged the full Session price.
7. Provider Obligations
Providers agree to:
- Hold and maintain all required qualifications, insurances, and checks as described in Section 3.
- Provide accurate information on their profile, including qualifications, experience, and pricing.
- Deliver professional, safe, and competent personal training services.
- Arrive on time for all confirmed Sessions and communicate promptly about any changes.
- Comply with all applicable Australian laws and regulations, including the Australian Consumer Law.
- Not solicit Clients to transact outside the Platform for a period of 12 months after their last interaction via the Platform.
8. Client Obligations
Clients agree to:
- Provide accurate health information relevant to safe training when requested by a Provider.
- Arrive on time for confirmed Sessions.
- Treat Providers with respect and professionalism.
- Not engage in any behaviour that is abusive, discriminatory, or harassing.
- Acknowledge that personal training involves inherent physical risks and participate at their own discretion.
9. Reviews and Content
Users may submit reviews and other Content to the Platform. By submitting Content, you grant us a non-exclusive, worldwide, royalty-free, perpetual licence to use, display, reproduce, and distribute that Content in connection with the Platform.
Reviews must be honest, based on genuine experiences, and not contain defamatory, obscene, or misleading statements. We reserve the right to remove Content that violates these Terms.
10. Intellectual Property
All intellectual property rights in the Platform, including its design, software, logos, and content (excluding User Content), are owned by Anywhere Group Pty Ltd. You may not reproduce, modify, or distribute any part of the Platform without our prior written consent.
11. Limitation of Liability
To the maximum extent permitted by law, including the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)):
- The Platform is provided "as is" and "as available" without warranties of any kind, except those that cannot be excluded under Australian Consumer Law.
- We are not liable for any injury, loss, or damage arising from a Session, including physical injury, property damage, or financial loss.
- Our total aggregate liability to you for any claims arising from or related to these Terms or the Platform shall not exceed the total Platform Fees paid by or in respect of you in the 12 months preceding the claim.
Nothing in these Terms is intended to limit or exclude any consumer guarantees, rights, or remedies that apply under the Australian Consumer Law and cannot be excluded, restricted, or modified by agreement.
12. Indemnification
You agree to indemnify and hold harmless Anywhere Group Pty Ltd, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, your breach of these Terms, or your violation of any rights of a third party.
13. Dispute Resolution
If a dispute arises between a Client and a Provider, we encourage the parties to resolve it directly. If resolution is not possible, either party may contact our support team, who will attempt to mediate the dispute.
For disputes between you and AnywherePT, you agree to first attempt resolution through our complaints procedure. If the dispute is not resolved within 30 days, either party may refer the matter to the Australian Financial Complaints Authority (AFCA) if applicable, or to an appropriate court in New South Wales, Australia.
14. Termination
We may suspend or terminate your access to the Platform at any time, with or without cause, upon notice. You may close your account at any time by contacting us. Upon termination, your right to use the Platform ceases immediately, but Sections 10, 11, 12, and 13 survive termination.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform and, where practicable, by email. Your continued use of the Platform after such changes constitutes acceptance of the updated Terms.
16. Governing Law
These Terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales.
